Mr. Jes­si­man has prac­ticed law since June, 1973 spe­cial­iz­ing in cor­po­rate, com­mer­cial and secu­ri­ties law, and was for­merly a part­ner at the law firm of Aikins, MacAulay & Thor­vald­son LLP where he con­tin­ues to serve as Coun­sel to the law firm. Sub­se­quent to the suc­cess­ful com­ple­tion of the Company’s qual­i­fy­ing trans­ac­tion and later the acqui­si­tion of Kee­watin Air Lim­ited, Mr. Jes­si­man joined the Exchange man­age­ment team in August 2005 as Chief Exec­u­tive Offi­cer. In June 2006, Mr. Jes­si­man stepped down as Chief Exec­u­tive Offi­cer and became the Exec­u­tive Vice-​​Chairman in charge of spe­cial projects. Mr. Jes­si­man con­tin­ues to play a key role in the strat­egy of the Company.

 

Michael C. Pyle
Chief Exec­u­tive Offi­cer
Direc­tor of Exchange

Mr. Pyle has spent eight years as a mer­chant banker spe­cial­iz­ing in financ­ing LBO, MBO and rapid growth com­pa­nies. Mr. Pyle became the Pres­i­dent and Chief Finan­cial Offi­cer in May 2004 and in June 2006 was pro­moted to Pres­i­dent and Chief Exec­u­tive Offi­cer. Mr. Pyle is respon­si­ble for mon­i­tor­ing the oper­at­ing com­pa­nies and ensur­ing that they are run­ning in accor­dance with their strate­gic and oper­at­ing plans as well as within their finan­cial bud­gets. Mr. Pyle is also respon­si­ble for arrang­ing financ­ing for the Com­pany and the sub­sidiaries. In July 2014, Mr. Pyle relin­quished the role of Pres­i­dent to focus on the Chief Exec­u­tive Offi­cer role.

 

Carmele N. Peter
Pres­i­dent

Ms. Peter, a lawyer, prac­ticed in the area of merg­ers and acqui­si­tions and tax at Aikins, MacAulay & Thor­vald­son LLP for over 23 years prior to join­ing Exchange in Novem­ber of 2012 as Chief Admin­is­tra­tive Offi­cer. She was legal coun­sel and an advi­sor to Exchange since its incep­tion. Dur­ing her legal career she rep­re­sented a num­ber of clients for whom she was a val­ued advisor and was involved in a many sig­nif­i­cant trans­ac­tions includ­ing the sale of Craig Media Inc., the acqui­si­tion of All­stream Inc., the sale of MTS’s yel­low pages direc­tory busi­ness and the acqui­si­tion of the Win­nipeg Jets. In July 2014, Ms. Peter became Pres­i­dent of the Company.

 

Edward (Ted) Mahood
Chief Finan­cial Officer

Mr. Mahood is a senior exec­u­tive with over 25 years of expe­ri­ence in domes­tic and inter­na­tional finance, account­ing and tax­a­tion. After grad­u­at­ing from the Richard Ivey School of Busi­ness, Mr. Mahood earned his Char­tered Accoun­tant des­ig­na­tion while at Price Water­house (Coop­ers). In 1990 he joined the finance group at Toy­ota Motor Man­u­fac­tur­ing Canada where he spent the next 17 years advanc­ing through the ranks to become the senior Cana­dian finan­cial offi­cer of the com­pany. Dur­ing the period 2008 to 2011 Mr. Mahood held the posi­tion of Chief Finan­cial Offi­cer at Lina­mar Cor­po­ra­tion, Vicwest Inc., and Inter­na­tional Road Dynam­ics. Imme­di­ately prior to join­ing Exchange, Mr. Mahood was the CFO at a large pri­vately owned man­u­fac­tur­ing com­pany in west­ern Canada. Mr. Mahood is respon­si­ble for the finan­cial over­sight of the Com­pany and its subsidiaries.

 

Adam S. Ter­win
Chief Cor­po­rate Devel­op­ment Officer

Mr. Terwin, a Char­tered Accoun­tant for­merly of Deloitte & Touche LLP, joined the Exchange man­age­ment team in July 2005 and has since earned his Char­tered Finan­cial Ana­lyst des­ig­na­tion. From June 2006 through July 2014, Mr. Ter­win was Chief Finan­cial Offi­cer of the Com­pany. In July 2014, Mr. Ter­win moved into the role of Chief Cor­po­rate Devel­op­ment Offi­cer over­see­ing acqui­si­tions and strate­gic growth ini­tia­tives for the Company’s exist­ing entities.

 

Dar­win R. Spar­row
Exec­u­tive Vice Pres­i­dent and Chief Oper­at­ing Offi­cer — Manufacturing

Mr. Spar­row spent 18 years in the man­u­fac­tur­ing indus­try prior to join­ing the Com­pany, with a proven track record of man­ag­ing com­pa­nies to reach their full poten­tial. Mr. Spar­row has exten­sive expe­ri­ence in man­ag­ing multi plants with cross-​​border oper­a­tions. Mr. Spar­row joined the Com­pany in March 2008 as Vice Pres­i­dent and Chief Oper­at­ing Offi­cer of Man­u­fac­tur­ing and is respon­si­ble for all oper­a­tions with the Company’s man­u­fac­tur­ing seg­ment. In July 2014, Mr. Spar­row added the title of Exec­u­tive Vice Pres­i­dent to his Chief Oper­at­ing Offi­cer title in man­u­fac­tur­ing, and in that role will take on respon­si­bil­i­ties in the gen­eral man­age­ment of the other subsidiaries.

 

Gary J. Beau­ri­vage
Vice Pres­i­dent and Chief Oper­at­ing Offi­cer — Aviation

Mr. Beau­ri­vage joined the Exchange head-​​office team as Vice Pres­i­dent and Chief Oper­at­ing Offi­cer of Avi­a­tion in April 2013 after spend­ing 40 years at Calm Air Inter­na­tional Ltd., a sub­sidiary of the Com­pany. Dur­ing his time at Calm Air Mr. Beau­ri­vage moved up through that com­pany and fin­ished the last 10 years as Calm Air’s Pres­i­dent and Chief Exec­u­tive Offi­cer. Mr. Beau­ri­vage brings a wealth of knowl­edge, expe­ri­ence and con­tacts relat­ing to pas­sen­ger and cargo trans­porta­tion and air­craft main­te­nance. While based in north­ern Man­i­toba for many years with Calm Air, Mr. Beau­ri­vage has devel­oped rela­tion­ships with many of the north­ern based cor­po­ra­tions, First Nation and Inuit lead­ers and com­mu­ni­ties, which are all ser­viced by a num­ber of the Company’s avi­a­tion busi­nesses. Mr. Beau­ri­vage is cur­rently respon­si­ble for all oper­a­tions of the Company’s avi­a­tion segment.

 

Michael J. Swis­tun
Direc­tor of Acquisitions

Mr. Swis­tun, a CFA, spent six years as an invest­ment banker with Welling­ton West Cap­i­tal Inc. spe­cial­iz­ing in IPO’s, Pri­vate Place­ments of Equity, Sub Debt and Debt for high growth pri­vate and pub­lic com­pa­nies. Prior to join­ing the Com­pany, Mr. Swis­tun man­aged a fam­ily owned aggre­gate busi­ness and had pre­vi­ously man­aged a pri­vate, inter­na­tional, dig­i­tal media startup com­pany. Mr. Swis­tun founded and con­structed the pri­vately held Grand Pines Golf Course north of Win­nipeg. Mr. Swis­tun joined the Exchange man­age­ment team in Sep­tem­ber 2011. He is respon­si­ble for iden­ti­fy­ing com­pa­nies to acquire and coor­di­nates the due dili­gence process for the poten­tial acquisitions.

Jeremy Bomhof
Man­ager, Tax Reporting

Jeremy Bomhof, a Char­tered Accoun­tant for­merly of Deloitte & Touche LLP, joined the Exchange man­age­ment team in Feb­ru­ary 2009. Mr. Bomhof is respon­si­ble for the tax plan­ning and com­pli­ance activ­i­ties. This includes ensur­ing that the struc­ture of Exchange remains tax effi­cient and that acqui­si­tions are accom­plished in a tax effec­tive manner.

Ran­bir Dhillon
Direc­tor of Cor­po­rate Development

Mr. Dhillon, a Char­tered Accoun­tant, joined the Exchange man­age­ment team in 2011. Prior to join­ing the Com­pany, Mr. Dhillon was with Deloitte & Touche LLP in a Senior Man­age­ment role and has over 15 years of expe­ri­ence advis­ing and work­ing with clients in diverse indus­tries with their busi­ness oper­a­tions, financ­ing and sig­nif­i­cant trans­ac­tions. Mr. Dhillon is respon­si­ble for assist­ing with acqui­si­tions and cor­po­rate initiatives.

Stephen C. Ell­wein
Direc­tor of Spe­cial Projects — Operations

Mr. Ell­wein joined the Exchange man­age­ment team in Feb­ru­ary 2007 and pro­vides mar­ket­ing and busi­ness exper­tise to the Com­pany and its subsidiaries.

Amanda Haney
Man­ager, Ana­lyst & Integration

Ms. Haney, a Char­tered Accoun­tant joined the Exchange man­age­ment team in August 2013 after work­ing at Price­wa­ter­house­C­oop­ers. Her respon­si­bil­i­ties are focused around the finan­cial analy­sis of our sub­sidiaries’ oper­a­tions and oppor­tu­ni­ties, involve­ment with the due dili­gence process for poten­tial acqui­si­tions, and the inte­gra­tion of recently acquired entities.

Cheryl Lawrence
Assis­tant Vice Pres­i­dent, Avi­a­tion Finance

Ms. Lawrence, a Char­tered Accoun­tant for­merly of AFD Man­age­ment Advi­sory Ser­vices, joined the Exchange man­age­ment team in July 2006. Ms. Lawrence pro­vides Exchange’s sub­sidiaries with account­ing and busi­ness exper­tise and leads the finance func­tion of the avi­a­tion segment’s sub­sidiaries. Ms. Lawrence is also involved in the due dili­gence process for poten­tial acqui­si­tions, pro­vides over­sight with the inte­gra­tion of new sub­sidiaries, and leads var­i­ous projects within the Company’s avi­a­tion seg­ment subsidiaries.

Carmine Lisi
Man­ager, Con­trols and Risk

Mr. Lisi, a Char­tered Accoun­tant and Cer­ti­fied Infor­ma­tion Sys­tems Audi­tor (CISA) for­merly of Price­wa­ter­house­C­oop­ers LLP, joined the Exchange man­age­ment team in Octo­ber 2011. Mr. Lisi is respon­si­ble for the inter­nal con­trols over finan­cial report­ing and risk man­age­ment activ­i­ties within the Com­pany and its sub­sidiaries, as well as the due dili­gence process for poten­tial acquisitions.

David Patrick
Assis­tant Vice Pres­i­dent, Finance

Mr. Patrick, a Char­tered Accoun­tant for­merly of ACE Avi­a­tion Hold­ings Inc. and Price­wa­ter­house­C­oop­ers LLP, joined the Exchange man­age­ment team in June 2007. Mr. Patrick is respon­si­ble for inter­nal and exter­nal finan­cial report­ing, var­i­ous cor­po­rate finance func­tions and per­son­nel of the Company’s head-​​office, and leads the finance func­tion of the man­u­fac­tur­ing segment’s sub­sidiaries. Mr. Patrick is also involved in the due dili­gence process for poten­tial acqui­si­tions, pro­vides over­sight with the inte­gra­tion of new sub­sidiaries, and leads var­i­ous projects within the Company’s man­u­fac­tur­ing seg­ment subsidiaries.

Izabella Poko­rnowska
Asso­ciate Man­ager, Risk and Controls

Ms. Poko­rnowska, a Cer­ti­fied Man­age­ment Accoun­tant (CMA) for­merly of Maple Leaf Foods, joined the Exchange man­age­ment team in July 2014. Ms. Poko­rnowska is respon­si­ble for assist­ing with  inter­nal con­trols over finan­cial report­ing and risk man­age­ment activ­i­ties within the Com­pany and its sub­sidiaries, as well as the due dili­gence process for poten­tial acquisitions.

Lor­raine Richards
Asso­ciate Man­ager, Risk and Controls

Ms. Richards, a Cer­ti­fied Infor­ma­tion Sys­tems Audi­tor (CISA) for­merly of Deloitte & Touche LLP, joined the Exchange man­age­ment team in May 2012. Ms. Richards is respon­si­ble for assist­ing with  inter­nal con­trols over finan­cial report­ing and risk man­age­ment activ­i­ties within the Com­pany and its sub­sidiaries, as well as the due dili­gence process for poten­tial acquisitions.

Bre­anne Routly
Asso­ciate Man­ager, Ana­lyst & Integration

Ms. Routly, a Char­tered Accoun­tant for­merly of Grant Thorn­ton, joined the Exchange man­age­ment team in Novem­ber 2008. The respon­si­bil­i­ties of Ms. Routly are focused around the finan­cial analy­sis of our sub­sidiaries’ oper­a­tions and oppor­tu­ni­ties, involve­ment with the due dili­gence process for poten­tial acqui­si­tions, and the inte­gra­tion of recently acquired enti­ties. Dianne M. Spencer
Man­ager, Com­pli­ance
Cor­po­rate Sec­re­tary of Exchange

Ms. Spencer joined the Exchange man­age­ment team in August 2005 as the Man­ager, Com­pli­ance. Prior to join­ing the Com­pany, she was employed at Aikins, MacAulay & Thor­vald­son as a legal assis­tant spe­cial­iz­ing in cor­po­rate, com­mer­cial and secu­ri­ties law. Ms. Spencer is largely respon­si­ble for mon­i­tor­ing the Cana­dian own­er­ship of the Company’s shares and report­ing to the Cana­dian Trans­porta­tion Agency on a reg­u­lar basis. As well, Ms. Spencer is respon­si­ble for ensur­ing that all fil­ing require­ments are met in rela­tion to the shares, any secu­ri­ties mat­ters and all cor­po­rate fil­ings for the Com­pany and its sub­sidiaries. Ms. Spencer became the Cor­po­rate Sec­re­tary of the Com­pany in May 2008.

Richard Wowryk

Mr. Wowryk, a Char­tered Accoun­tant for­merly of KPMG LLP, joined the Exchange man­age­ment team in April 2012. Mr. Wowryk is respon­si­ble for assist­ing with inter­nal and exter­nal finan­cial report­ing and is also involved in the due dili­gence process for poten­tial acquisitions.
