Duncan D. Jessiman

Mr. Jessiman has practiced law since June, 1973 specializing in corporate, commercial and securities law, and was formerly a partner at the law firm of Aikins, MacAulay & Thorvaldson LLP where he continues to serve as Counsel to the law firm. Subsequent to the successful completion of the Company’s qualifying transaction and later the acquisition of Keewatin Air Limited, Mr. Jessiman joined the Exchange management team on August 1, 2005 on a full-time basis as Chief Executive Officer. On June 28, 2006, Mr. Jessiman stepped down as Chief Executive Officer and became the Executive Vice-Chairman in charge of special projects. Mr. Jessiman continues to play a key role in the strategy of the Company.
Michael C. Pyle
President and Chief Executive Officer
Director of Exchange
Mr. Pyle has spent eight years as a merchant banker specializing in financing LBO, MBO and rapid growth companies. Mr. Pyle became the President and Chief Financial Officer on a full-time basis on May 7, 2004 and on June 28, 2006 was promoted to Chief Executive Officer. Mr. Pyle is responsible for monitoring the operating companies and ensuring that they are running in accordance with their strategic and operating plans as well as within their financial budgets. Mr. Pyle is also responsible for arranging financing for the Company and the subsidiaries.
Adam S. Terwin
Chief Financial Officer
Mr. Terwin, a Chartered Accountant formerly of Deloitte & Touche LLP, joined the Exchange management team on a full-time basis on July 11, 2005 and has since earned his Chartered Financial Analyst designation. On June 28, 2006, Mr. Terwin was promoted to Chief Financial Officer. Mr. Terwin is responsible for the financial oversight of the Company and its subsidiaries.
Darwin R. Sparrow
Vice President and Chief Operating Officer — Manufacturing
Mr. Sparrow spent 18 years in the manufacturing industry prior to joining Exchange, with a proven track record of managing companies to reach their full potential. Mr. Sparrow has extensive experience in managing multi plants with cross-border operations. Mr. Sparrow joined the Company on a full-time basis on March 1, 2008 as Vice-President and Chief Operating Officer of Manufacturing and is responsible for all operations with Exchange’s manufacturing segment.
Carmele N. Peter
Chief Administrative Officer
Ms. Peter, a lawyer, practiced in the area of mergers and acquisitions and tax at Aikins, MacAulay & Thorvaldson LLP for over 23 years prior to joining Exchange in November of 2012. She was legal counsel and an advisor to Exchange since its inception. During her legal career she represented a number of clients for whom she was a valued advisor and was involved in a many significant transactions including the sale of Craig Media Inc., the acquisition of Allstream Inc., the sale of MTS’s yellow pages directory business and the acquisition of the Winnipeg Jets. Ms. Peter is responsible for overseeing acquisitions, administrative management and assisting in developing and implementing corporate initiatives and strategies.
Michael J. Swistun
Director of Acquisitions
Mr. Swistun, a CFA, spent six years as an investment banker with Wellington West Capital Inc. specializing in IPO’s, Private Placements of Equity, Sub Debt and Debt for high growth private and public companies. Prior to joining Exchange, Mr. Swistun managed a family owned aggregate company and had previously managed a private, international, digital media startup company. Mr. Swistun founded and constructed the privately held Grand Pines Golf Course north of Winnipeg. Mr. Swistun joined the Exchange management team on a full-time basis on September 1, 2011 and is responsible for identifying companies to acquire and coordinates the due diligence process for the potential acquisitions.
Jeremy Bomhof
Manager, Tax Reporting
Jeremy Bomhof, a Chartered Accountant formerly of Deloitte & Touche LLP, joined the Exchange management team on February 23, 2009. Mr. Bomhof is responsible for the tax planning and compliance activities. This includes ensuring that the structure of Exchange remains tax efficient and that acquisitions are accomplished in a tax effective manner.
Ranbir Dhillon
Director of Integration
Mr. Dhillon, a Chartered Accountant, joined the Exchange management team in the fall of 2011 and came from Deloitte & Touche LLP with several years of experience in a Senior Management role. Mr. Dhillon’s responsibility with Exchange is working directly with our largest subsidiary, WesTower Communications, in a dual reporting role that incorporates both Operations and Finance during WesTower’s growth in the wireless communications industry.
Stephen C. Ellwein
Director of Special Projects — Operations
Mr. Ellwein joined the Exchange management team on February 23, 2007 and provides marketing and business expertise to Exchange and its subsidiaries.
Cheryl Lawrence
Director of Special Projects
Ms. Lawrence, a Chartered Accountant formerly of AFD Management Advisory Services, joined the Exchange management team on a full-time basis on July 31, 2006. Ms. Lawrence provides Exchange’s subsidiaries with accounting and business expertise on a project-by-project basis.
Carmine Lisi
Manager, Controls and Risk
Mr. Lisi, a Chartered Accountant and Certified Information Systems Auditor (CISA) formerly of PricewaterhouseCoopers LLP, joined the Exchange management team on a full-time basis on October 1, 2011. Mr. Lisi is responsible for the internal controls over financial reporting and risk management activities within the Company and its subsidiaries, as well as the due diligence process for potential acquisitions.
David J. Patrick
Manager, Financial Reporting
Mr. Patrick, a Chartered Accountant formerly of ACE Aviation Holdings Inc. and PricewaterhouseCoopers LLP, joined the Exchange management team on a full-time basis on June 25, 2007. Mr. Patrick is responsible for internal and external financial reporting and is also involved in the due diligence process for potential acquisitions.
Lorraine Richards
Associate Manager, Risk and Controls
Ms. Richards, a Certified Information Systems Auditor (CISA) formerly of Deloitte & Touche LLP, joined the Exchange management team on a full-time basis on May 14, 2012. Ms. Richards is responsible for assisting with internal controls over financial reporting and risk management activities within the Company and its subsidiaries, as well as the due diligence process for potential acquisitions..
Breanne Routly
Associate Manager, Risk
Ms. Routly, a Chartered Accountant formerly of Grant Thornton, joined the Exchange management team on a full-time basis on November 17, 2008. Ms. Routly is responsible for assisting with internal controls over financial reporting within the Company and its subsidiaries as well as the due diligence process for the potential acquisitions.
Dianne M. Spencer
Manager, Compliance
Corporate Secretary of Exchange
Ms. Spencer joined the Exchange management team on August 1, 2005 as the Manager, Compliance. Prior to joining Exchange, she was employed at Aikins, MacAulay & Thorvaldson as a legal assistant specializing in corporate, commercial and securities law. Ms. Spencer is largely responsible for monitoring the Canadian ownership of the Corporation’s shares and reporting to the Canadian Transportation Agency on a regular basis. As well, Ms. Spencer is responsible for ensuring that all filing requirements are met in relation to the shares, any securities matters and all corporate filings for the Company and its subsidiaries. Ms. Spencer became the Corporate Secretary of Exchange on May 14, 2008.
Richard Wowryk
Associate Manager, Financial Reporting
Mr. Wowryk, a Chartered Accountant formerly of KPMG LLP, joined the Exchange management team on a full-time basis on April 16, 2012. Mr. Wowryk is responsible for assisting with internal and external financial reporting and is also involved in the due diligence process for potential acquisitions.
